TRUST DEED

(Bahamas Purpose Trust – Private, Unregistered, Crypto- & Corporate-Enabled)

This Trust Deed ("Agreement") is made and entered into as of the date of electronic signature by the Settlor, by and between:

SETTLOR: The undersigned individual or entity, whose name and address are provided in the attached or accompanying form, hereinafter referred to as the "Settlor".

TRUSTEE: SK Trust Global KB, registered in Sweden with registration number: 969802-9585 and its principal office at Karlavägen 18, 114 31 Stockholm, Sweden, hereinafter referred to as the "Trustee".

RECITALS

A. The Settlor desires to establish a non-charitable purpose trust under the laws of The Bahamas to hold and manage assets, including but not limited to digital assets, tokenized assets, corporate entities, and other lawful property, following the purposes outlined in this Trust Deed.

B. The Trustee agrees to accept and manage such assets following the terms of this Trust Deed.

C. The Settlor, Trustee, and any related parties are all non-residents of The Bahamas.

D. This Trust is intended to be a private, unregistered, non-charitable purpose trust governed by the Purpose Trust Act 2004 and Trustee Act 1998 of The Bahamas and shall be administered entirely outside.

1. CREATION OF THE TRUST

1.1 The Settlor hereby establishes a trust under the name entered in the form (the “Trust”). It may transfer any form of property, including fiat currency, cryptocurrency, shares, or other digital and tangible assets, to be held and managed as Trust Property.

1.2 The Trustee accepts such property and agrees to administer it following the terms of this Agreement.

2. NAME AND GOVERNING LAW

2.1 This Trust shall be known by the name entered in the accompanying form.

2.2 The Trust shall be governed by the laws of the Commonwealth of The Bahamas, including the Purpose Trust Act 2004 and the Trustee Act 1998, as amended.

3. PURPOSES OF THE TRUST

3.1 This Trust is established solely for the following lawful non-charitable purposes, as specified in the form and/or separately in writing by the Settlor, including but not limited to:

  • Custody, long-term holding, or strategic deployment of cryptocurrencies, NFTs, tokenized securities, and other blockchain-based assets;
  • Protection and succession planning of digital private keys, seed phrases, and multi-signature governance mechanisms;
  • Holding ownership of private companies, offshore entities, intellectual property, digital businesses, or tokenized corporate shares;
  • Management of cash flow, dividends, or staking/yield-generating activities from such assets;
  • Asset isolation for estate planning, confidentiality, or cross-border risk mitigation purposes;
  • Other lawful personal, business, or philanthropic purposes as described by the Settlor.

3.2 This Trust is not established for the benefit of any named beneficiaries.

3.3 The Trustee shall apply the Trust Property solely to achieve the above-stated purposes, with full discretion unless otherwise restricted herein.

4. ENFORCER

4.1 The Settlor may appoint a person or entity to act as Enforcer, named within this form or subsequently in writing.

4.2 The Enforcer’s role shall be to ensure that the Trustee carries out the stated purposes of the Trust.

4.3 The Enforcer shall have no beneficial interest in the Trust Property.

4.4 If no Enforcer is named, the Trustee may proceed with administration until one is designated.

5. LETTER OF WISHES

5.1 The Settlor may submit a Letter of Wishes via this form or by separate written communication, expressing non-binding preferences regarding the investment, distribution, or application of Trust assets.

5.2 The Trustee shall give due regard to any such letter but shall retain final discretion.

5.3 The Letter of Wishes may be updated or withdrawn at any time by the Settlor.

6. POWERS AND DUTIES OF THE TRUSTEE

6.1 The Trustee shall have full and unrestricted authority to hold, manage, safeguard, and apply any form of property, including:

  • Cryptocurrencies, tokens, and NFTs;
  • Cold or hot wallets, multi-signature keys, and hardware wallets;
  • Shares in private or public corporations;
  • Intellectual property rights and domain names;
  • Tokenized representations of real-world or digital assets.

6.2 The Trustee may appoint custodians, administrators, crypto-compliance officers, or digital asset managers to assist in fulfilling the Trust’s purposes.

6.3 The Trustee shall act with fiduciary care and good faith and shall maintain best practices for secure asset handling, especially in digital matters.

6.4 All administration of the Trust shall occur outside the jurisdiction of The Bahamas.

7. TRUSTEE COMPENSATION AND EXPENSES

7.1 The Trustee shall be entitled to fair and reasonable compensation, agreed upon separately.

7.2 The Trustee shall be reimbursed for all properly incurred expenses related to the administration, custody, or safeguarding of the Trust Property.

8. AMENDMENT AND TERMINATION

8.1 The Settlor may amend this Trust by providing written notice to the Trustee, provided the change remains within the framework of Bahamian law.

8.2 The Trustee may terminate the Trust if:

  • The purposes are fulfilled, become unlawful, or impossible to carry out.
  • Termination is requested by the Settlor and approved by the Trustee.
  • Circumstances arise that render continuation impractical.

8.3 Upon termination, any remaining assets shall be distributed according to the Settlor’s last written instructions or, if none exist, in a manner consistent with the Trust's original intent.

9. CONFIDENTIALITY AND ADMINISTRATION

9.1 The Trustee shall maintain strict confidentiality regarding the Settlor, Enforcer, assets, and Trust structure, except where disclosure is required by law.

9.2 This Trust shall remain unregistered with the Bahamian authorities and will not appear in any public registry.

9.3 All records, documents, and administrative functions shall be maintained outside of The Bahamas, with off-chain or encrypted backups as appropriate.

10. GENERAL PROVISIONS

10.1 This Trust Deed and the accompanying form constitute the complete agreement between the parties.

10.2 Any disputes arising under this Agreement shall be resolved under the laws and courts of The Bahamas unless otherwise agreed in writing.

10.3 This Trust becomes effective immediately upon the Settlor’s electronic completion and submission of the accompanying form and the Trustee's electronic or written acknowledgment of receipt.

IN WITNESS WHEREOF, the Settlor has executed this Trust Deed by completing and electronically signing the accompanying form. This Agreement is deemed binding upon electronic submission and Trustee acceptance.
